1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Quorrio, Inc. ("Quorrio," "we," "us," or "our"), a Delaware corporation. By accessing or using quorrio.com (the "Site") or any service we provide, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

If you do not agree to these Terms, do not use the Site.

2. Eligibility

You must be at least 18 years old and a legal resident of the United States to use the Site. By using the Site, you represent and warrant that you meet these requirements. We reserve the right to refuse service to any person at any time at our sole discretion.

3. Nature of Our Service

3.1 Comparison Marketplace Only. Quorrio provides an online platform where you can request estimated insurance quotes from participating third-party insurance carriers. We are an independent comparison service. We are not a licensed insurance agent, insurance broker, or insurance company in any jurisdiction. We do not sell, solicit, negotiate, or place insurance.

3.2 Estimates, Not Offers. All quotes displayed on the Site are estimates based on information you provide and data modeling. They are not offers to contract, binders, or guarantees of coverage or price. Actual premiums, coverage availability, and eligibility are determined solely by the carrier you contact and are subject to full underwriting review, verification of information you provide, and applicable state law.

3.3 No Advice. Nothing on the Site constitutes insurance, financial, legal, or professional advice. We recommend consulting a licensed insurance professional before purchasing any policy. Quorrio disclaims all liability arising from your reliance on information presented on the Site.

3.4 Mock and Estimated Data. Some quote results on the Site may be simulated or estimated and may not represent actual quotes from any specific carrier. We will clearly indicate when results are estimates. Quorrio makes no warranty that estimated results reflect actual available market pricing.

4. Compensation Disclosure

Quorrio may receive compensation from insurance carriers when you purchase a policy or request a quote through our platform. This compensation helps us provide the Site free of charge to consumers. This compensation does not influence the order or presentation of quotes unless otherwise disclosed at the point of display. We do not promote carriers based on compensation to the exclusion of better-priced options. Estimated quote results are sorted by estimated monthly premium from lowest to highest unless you change the sort order.

5. Your Submissions and Consent

5.1 Accuracy of Information. You are solely responsible for the accuracy, completeness, and truthfulness of all information you submit. You warrant that the information you provide is true, accurate, current, and complete. Providing false or misleading information may be unlawful and may result in inaccurate quotes or denial of coverage by a carrier.

5.2 Consent to Contact (TCPA). By providing your prior express written consent through the separate consent checkbox in the quote request form, you expressly agree that Quorrio, Inc. and its insurance carrier partners, and their agents and representatives, may contact you at the telephone number and email address you provide — including via autodialed telephone calls, prerecorded messages, and automated text (SMS/MMS) messages — regarding insurance quotes and related products and services, even if your telephone number appears on a federal, state, or internal Do Not Call registry. This consent is not required as a condition of purchasing any goods or services. Message and data rates may apply. You may revoke consent to receive automated calls or texts from a carrier at any time by contacting that carrier directly.

5.3 Consent to Data Sharing. By submitting a quote request, you consent to Quorrio sharing the information you provide with participating insurance carriers and their technology partners for the purpose of generating insurance quotes. See our Privacy Policy for details.

6. Prohibited Conduct

You agree not to:

• Use the Site for any unlawful purpose or in violation of any applicable law;
• Submit false, misleading, or fraudulent information;
• Interfere with, disrupt, or attempt to gain unauthorized access to the Site or its underlying systems;
• Use automated tools, bots, scrapers, or crawlers to access the Site without our prior written permission;
• Reverse engineer, decompile, or disassemble any part of the Site;
• Use the Site to send spam or unsolicited commercial communications;
• Impersonate any person or entity or misrepresent your affiliation with any person or entity;
• Attempt to circumvent any security measures or access controls on the Site.

7. Intellectual Property

The Site and all content, features, and functionality — including but not limited to text, graphics, logos, icons, software, and the selection and arrangement thereof — are owned by Quorrio or its licensors and are protected by U.S. and international copyright, trademark, patent, and other intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site solely for your personal, non-commercial use to obtain insurance quote comparisons. You may not reproduce, distribute, modify, create derivative works of, publicly display, or otherwise exploit any content from the Site without our prior written consent.

8. Third-Party Carriers and Links

The Site may display quotes from, or contain links to, third-party insurance carriers and other websites. Quorrio does not endorse, is not responsible for, and has no control over the content, products, services, or privacy practices of any third-party carrier or website. Your interactions with carriers and third-party sites — including any insurance policy you purchase — are solely between you and that third party. Quorrio is not a party to any insurance contract between you and a carrier, and we have no liability arising from any such contract or from your interactions with any carrier or third-party site.

9. Disclaimers of Warranty

THE SITE AND ALL CONTENT, PRODUCTS, AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, QUORRIO EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT;
• WARRANTIES THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES;
• WARRANTIES REGARDING THE ACCURACY, RELIABILITY, COMPLETENESS, OR TIMELINESS OF ANY QUOTE, CONTENT, OR INFORMATION ON THE SITE;
• WARRANTIES THAT ANY QUOTE DISPLAYED WILL RESULT IN ACTUAL COVERAGE BEING AVAILABLE TO YOU AT THAT PRICE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, QUORRIO AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY:

• INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES;
• LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES;
• DAMAGES ARISING FROM YOUR RELIANCE ON QUOTE ESTIMATES OR INFORMATION ON THE SITE;
• DAMAGES ARISING FROM THE CONDUCT OF ANY INSURANCE CARRIER OR THIRD PARTY;
• DAMAGES ARISING FROM ANY INSURANCE COVERAGE DENIAL, CANCELLATION, OR DISPUTE;

WHETHER BASED ON WARRANTY, CONTRACT, TORT, STATUTE, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT QUORRIO HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL QUORRIO'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SITE EXCEED THE GREATER OF (A) $100 OR (B) THE AMOUNT YOU PAID TO QUORRIO IN THE TWELVE MONTHS PRECEDING THE CLAIM (IF ANY). BECAUSE QUORRIO'S SERVICES ARE FREE TO USERS, THIS AMOUNT WILL IN MOST CASES BE ZERO.

11. Indemnification

You agree to defend, indemnify, and hold harmless Quorrio and its officers, directors, employees, agents, and successors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Site; (b) any information you submit, including inaccurate or fraudulent information; (c) your violation of these Terms; (d) your violation of any applicable law or third-party rights; or (e) any insurance dispute between you and a carrier.

12. Dispute Resolution — Binding Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

12.1 Informal Resolution First. Before initiating arbitration, you agree to contact us at legal@quorrio.com with a written description of your dispute and give us 30 days to attempt informal resolution.

12.2 Binding Arbitration. If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms or the Site — including any question of arbitrability — shall be finally settled by binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, which are available at adr.org. The arbitration shall be conducted in English. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

12.3 Class Action Waiver. YOU AND QUORRIO EACH AGREE THAT ANY CLAIMS SHALL BE BROUGHT SOLELY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS ACTION, COLLECTIVE ACTION, OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS AND MAY NOT PRESIDE OVER ANY CLASS OR REPRESENTATIVE PROCEEDING.

12.4 Exceptions. Either party may seek relief in small claims court for disputes within that court's jurisdiction. Either party may seek emergency injunctive relief in court to prevent irreparable harm pending arbitration.

13. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-law principles. To the extent any dispute is not subject to arbitration, you consent to exclusive personal jurisdiction and venue in the state and federal courts located in Delaware.

14. Modifications to the Service and Terms

We reserve the right to modify, suspend, or discontinue the Site or any part thereof at any time without notice or liability. We may also update these Terms at any time by posting the revised Terms on the Site with an updated effective date. Your continued use of the Site after any changes constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.

15. Termination

We may terminate or suspend your access to the Site at any time, with or without cause, with or without notice, without liability to you. Upon termination, all licenses and rights granted to you under these Terms shall immediately cease. Sections 3, 4, 8, 9, 10, 11, 12, and 13 survive termination.

16. General

Entire Agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and Quorrio regarding the Site and supersede all prior agreements.

Severability. If any provision of these Terms is held invalid or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall remain in full force.

Waiver. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

Assignment. You may not assign or transfer your rights under these Terms. We may assign our rights and obligations without restriction.

No Agency. Nothing in these Terms creates any agency, partnership, joint venture, employment, or franchise relationship between you and Quorrio.
